Terms of Service

These Terms of Service (the "Terms") govern your use of the hosted services offered at modelmeld.ai (the "Service") by Stretto Labs LLC, a Wyoming limited liability company doing business as ModelMeld ("ModelMeld," "we," or "us"). By creating an account, purchasing credits, or using the Service, you agree to these Terms.

1. The Service

The Service is a hosted AI routing gateway. It routes large language model requests on your behalf across local and frontier providers, charges per token of local inference consumed, and issues you a signed license key for access. 2. Open-source engine vs. hosted Service

ModelMeld's routing engine is open-source software licensed under the GNU Affero General Public License version 3 or later (AGPL-3.0-or-later). These Terms govern only the hosted Service we operate, not your independent use of the open-source engine on your own infrastructure. If you self-host the open-source engine, your obligations are defined entirely by the AGPL license that ships with the source code.

For commercial use cases that require an exemption from AGPL, contact hello@modelmeld.ai about a commercial license.

3. Your account

Your email address is your account identifier. Your license JWT is your sole credential. You are responsible for keeping it secure — anyone with the JWT can spend your credit balance and view your usage history. If you believe your JWT has been compromised, email hello@modelmeld.ai so we can revoke and reissue.

You must be at least 18 years old and legally able to enter into a binding contract to use the Service.

4. Payment, credits, and refunds

Credits. Credit purchases are processed in advance via Stripe. Credits are consumed as you make routed requests through the hosted local model. Credits do not expire.

Subscriptions. The Pro feed subscription is billed monthly via Stripe. You may cancel at any time from the account portal or by emailing us. Cancellation takes effect at the end of the current billing period.

Refunds.Credit purchases and the current month's subscription fee are non-refundable, except where required by applicable consumer-protection law. If you believe a charge was made in error or that we billed you for service we failed to provide, email hello@modelmeld.ai and we'll review case-by-case.

Tax. Prices on modelmeld.ai are exclusive of any taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any such taxes other than U.S. federal income taxes that apply to us.

5. Acceptable use

You agree not to use the Service to:

  • Generate content that is illegal under the laws of the United States, the State of Delaware, or any jurisdiction in which the content is created, accessed, or used.
  • Generate or distribute child sexual abuse material, content promoting self-harm, content designed to incite violence, or content intended to deceive (impersonation, fraud, election interference).
  • Attempt to extract, reproduce, or reverse-engineer the underlying weights or training data of any model the Service routes to.
  • Probe, scan, or test the security of the Service (other than as expressly invited by our security disclosure policy), or attempt to overwhelm it via volume.
  • Resell, sublicense, or repackage the hosted Service as your own offering without a commercial license.
  • Use the Service in violation of the terms of any underlying provider whose API you are accessing through your own keys (e.g., OpenAI's usage policies, Anthropic's usage policies).

We may suspend or terminate accounts that violate this section without prior notice if the violation is severe or ongoing.

6. Intellectual property

Your content. You retain ownership of all data, prompts, and outputs you submit through the Service. You grant us only the limited license needed to operate the Service on your behalf (route requests, process payments, generate usage reports). We do not use your prompts to train any model.

Our IP. The hosted Service, the ModelMeld brand, logos, and the proprietary control-plane software are owned by us. The open-source engine is governed by AGPL as described in Section 2. Nothing in these Terms transfers ownership of trademarks.

Feedback. If you send us suggestions, feature requests, or other feedback, we may use it without obligation to you.

7. Privacy

Our Privacy Policy describes what we collect and how we handle it. By using the Service you agree to that policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that model outputs will be accurate, complete, non-infringing, or fit for any particular use. AI outputs can be wrong, biased, fabricated, or otherwise unreliable. You are responsible for reviewing model outputs before relying on them.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow limitations on certain liabilities; in those jurisdictions, our liability is limited to the maximum extent permitted.

10. Indemnification

You will defend, indemnify, and hold harmless ModelMeld and its officers, employees, and agents from any third-party claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) your content or instructions submitted to the Service; or (c) your infringement of any third party's intellectual property or other rights.

11. Termination

By you. You may terminate your account at any time by emailing hello@modelmeld.ai. A self-serve account-deletion option will be added to the account portal in a future release.

By us. We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or where we have a good-faith belief that termination is necessary to protect the Service or other users. We will refund any pre-paid amounts that, at the time of termination by us, have not been consumed and were not associated with the conduct that caused termination.

Sections that by their nature should survive termination (e.g., Sections 6, 8, 9, 10, 13, 14) will survive.

12. Changes to these Terms

We may revise these Terms from time to time. When we make a material change, we will update the "Last updated" date at the top. For changes that meaningfully expand your obligations or reduce your rights, we will provide reasonable notice (typically by email to the address associated with your account) before the change takes effect. Your continued use after a change becomes effective constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Dispute resolution

Informal resolution. Before filing any formal claim, you agree to first send a written notice to hello@modelmeld.ai describing the claim and the relief sought. We will attempt in good faith to resolve the matter within 60 days of receiving the notice.

Binding arbitration.If we cannot resolve a dispute informally, you and we agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with the seat of arbitration in Cheyenne, Wyoming. The arbitrator's decision is final and may be entered in any court of competent jurisdiction.

No class actions.You and we agree to bring claims only in our individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one party's claims.

Exceptions. Either party may bring an individual claim in small-claims court for any qualifying dispute, and either party may seek injunctive relief in any court of competent jurisdiction for actual or threatened infringement of intellectual property rights.

Statute of limitations. Any claim arising out of or related to these Terms must be filed within one (1) year of the date the claim accrued, or it is permanently barred.

Attorneys' fees.Each party bears its own attorneys' fees in any dispute, except where the arbitrator or court determines that a party's position was frivolous or brought in bad faith.

15. General

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and ModelMeld with respect to the Service.

Severability. If any provision is held unenforceable, the rest will remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Force majeure. Neither party is liable for delays or failures due to causes beyond reasonable control (e.g., natural disasters, war, outages by upstream providers).
